The Kyndryl Solutions Private Limited (Kyndryl/Company) Corporate Social Responsibility Policy (Policy) was created in accordance with Section 135 of the Companies Act, 2013 (Act) on Corporate Social Responsibility (CSR) as well as the Companies Corporate Social Responsibility Rules, 2014 (Rules), which were announced by the Ministry of Corporate Affairs, Government of India, and were then followed by circulars.

Goal I Kyndryl strives to be a responsible corporate citizen by supporting national development through CSR projects and programmes in accordance with the language and spirit of the Act.

(ii) The Policy, which was created in accordance with the Company’s Vision, outlines the procedures to be followed by the Company while implementing CSR Projects/Programs.

(iii) For optimal impact, all CSR initiatives shall be planned and carried out with a laser-like concentration on the intended beneficiaries.

(iv) The Company’s CSR initiatives shall be carried out in collaboration with reliable implementing organisations.

(v) The Company will set forth the method(s) by which the mandatory Reporting Format required by Rule 8 is created within the Company and the method(s) by which it is ultimately given to the CEO, Board of Directors, Chairman, and CSR Committee of the Board for the affixing of signatures.

3. Areas of Focus

We pledge to make strategic investments to assist the long-term development of our communities while maintaining industry-competitive standards for charitable giving.

We devote our time and skills to advancing inclusive economies, climate action, and Future Forward Education. As a company that values its employees, we take empathetic actions, value different viewpoints, make an effort to understand others, and constantly innovate with our partners to provide solutions that address problems or opportunities in our communities.

The Company will engage in CSR activities that are in line with global community initiatives made in the name of environmental social governance (ESG) and corporate social responsibility (CSR).

CSR Budget

(i) The Company’s Board will see to it that each Financial Year (FY) at least 2% of the average net profit (determined in accordance with Section 198 of the Act) accrued during the three prior FYs is allocated to CSR initiatives / programmes.

(ii) If the amount mentioned above is not completely spent in that fiscal year, Section 134 (3) will be followed to explain.

Budgets will be assigned for these programmes and projects through a process that includes identifying appropriate implementation agencies, need assessments where necessary, and articulating desired results.

(iv) . For all of the identified projects and programmes, the total budget allocation cannot be less than the sum mentioned in para. 3 I above.

(v) The Company will carry over any surplus or profit it makes from carrying out its CSR initiatives or programmes to the following year or years as part of the CSR corpus or as an addition to the CSR budget, rather than including it in its business profits.

Reporting
The Company shall submit a thorough report of its CSR initiatives in the format required for “The Annual Report on CSR Activities” at the start of the fiscal year that follows the year being reported upon (Annexure B). Section 134 (3) will be in compliance with this (o).

The CSR Policy’s general characteristics and overview have been mentioned above. However, the Board of the Company may arrange these in any order or succession it sees suitable.

Disclosure

In order to fully disclose its CSR Policy, Strategy, Projects/Programs, Activities, Monitoring Mechanism, Implementing Agencies, Expenditure Details, and the make-up of the CSR Committee of the Board, the Company shall adhere to Section 135 (2), 135 (4) (1), and 134 (3)(o) of the Act.
